Website Design & Care Agreement

Last updated November 4, 2026

This Website Design & Care Agreement (“Agreement”) is between Nilewright LLC, a Maryland limited liability company (“Nilewright,” “we”), and the client named in the client portal (“Client,” “you”). It takes effect when you accept it in the client portal.

1. Services

Build (Custom). We will design and build a custom website for your business: up to five pages or sections, mobile and desktop layouts, your provided text, photos and logo, a contact or call option, a map, and basic search setup. Two rounds of revisions are included before launch.

Additional pages, features or revision rounds are quoted separately in writing before any work starts.

Care plan. After launch we host, secure, back up, monitor and maintain the site under the plan you selected. Plan features are described on our pricing page as of the date you accept.

2. Fees and payment

  • Build fee (Custom): $1,000, paid 50% ($500) when you accept this Agreement and 50% at launch. If you cancel before we begin design work, we refund the deposit in full; after design work begins, the deposit is non-refundable because it covers work already done.
  • Care plan: the plan price shown at sign-up, plus applicable sales tax, starting on the launch date.
  • Payments are processed by Stripe. You authorize us to charge your saved payment method for the amounts in this Agreement on their due dates.
  • Domain names are registered in your name (you are the legal owner), billed at cost, and managed by us while you are a client. If you already own a domain, you keep it; we only point it to your website.

3. Automatic renewal and cancellation

Your care plan renews automatically every month at the same price until you cancel. You may cancel anytime online in the client portal (Billing → Cancel plan) or by emailing hello@nilewright.com. Cancellation takes effect at the end of the current billing period. There are no cancellation fees, and fees already paid for the current period are not refunded except where required by law. We will give at least 30 days’ email notice before any price change.

4. Late payment

If a payment fails, we will notify you and retry. We send a reminder 3 days after the due date and a written final notice 7 days after the due date naming the date your site will be paused, which will be at least 7 days after that notice. If the balance is still unpaid on that date, we may pause the site, which then shows a neutral “temporarily unavailable” page. We will not delete your site or data while it is paused, and we will restore it promptly after payment.

5. Your responsibilities

  • Provide content, photos, logos and feedback in a timely way; launch dates move if materials are late.
  • Confirm you own or have permission to use everything you give us.
  • You are solely responsible for your products, services, prices, claims and legal compliance, including age restrictions, required product warnings, licensing and advertising rules for your industry.

6. Ownership

You own your content. Once the build fee is paid in full, you own the custom design and site content we created for you. We keep ownership of our pre-existing code, tools and templates and grant you a perpetual, non-exclusive license to use them as part of your site. Your domain is always yours. If you leave, we hand over your site files and content and help you move your domain, at no charge. We may show your site in our portfolio unless you tell us not to.

7. Ending the Agreement

Either party may end the care plan as described in Section 3. We may end it on written notice if an invoice remains unpaid 30 days after a pause, or if you materially breach this Agreement. After the Agreement ends, we keep your site files and content for 90 days so you can request an export (a copy of your site’s files), then delete them except records the law requires us to keep.

8. Privacy and data

We handle personal information as described in our Privacy Policy. Visitor statistics on your site are collected without cookies or personal identifiers. Each client’s data is kept separate and is never shared with other clients or sold.

9. Warranties and liability

We will perform our services in a professional manner. Otherwise, services are provided “as is,” and we do not guarantee uninterrupted availability, search rankings or business results. To the extent permitted by law, each party’s total liability under this Agreement is limited to the fees you paid in the 12 months before the claim, and neither party is liable for indirect, incidental or consequential damages. You will indemnify us against claims arising from your content or your products and services.

10. General

This Agreement, together with our Terms of Service and Privacy Policy, is the entire agreement between us and replaces prior discussions. It is governed by the laws of the State of Maryland. If any part is unenforceable, the rest remains in effect. Changes must be in writing (email or portal acceptance counts). Electronic acceptance has the same effect as a handwritten signature.
